Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Assessment and Plan, LLC dba Queue Medical ("Queue Medical," "we," "us," or "our") concerning your access to and use of our website, services, and any related applications (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Eligibility

Medical Services

Nature of Services

Queue Medical provides concierge medical services focused on preventive health, wellness, and longevity medicine. Our services are intended to supplement, not replace, the relationship between you and your healthcare providers.

No Emergency Services

Our Services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use our Services for urgent or emergency medical needs.

Medical Disclaimer

Information provided through our Services is for informational and educational purposes only. It does not constitute medical advice and should not be relied upon as a substitute for professional medical consultation, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition.

Patient-Physician Relationship

A patient-physician relationship is established only when you become a patient of Queue Medical through our formal enrollment process. Visiting our website, joining our waitlist, or communicating with us does not create a patient-physician relationship.

Membership and Fees

Membership Terms

Queue Medical operates on a membership basis. Specific membership terms, including services provided, fees, and payment schedules, will be outlined in your membership agreement.

Payment

You agree to pay all fees associated with your membership according to the payment terms provided. Fees are non-refundable except as required by law or as specifically stated in your membership agreement.

Changes to Fees

We reserve the right to modify our fees with reasonable advance notice. Continued use of our Services after such changes constitutes acceptance of the new fees.

Cancellation

Either party may terminate membership according to the terms specified in your membership agreement. You remain responsible for all fees incurred prior to the effective date of cancellation.

User Responsibilities

You agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use our Services only for lawful purposes and in accordance with these Terms
  • Not interfere with or disrupt the operation of our Services
  • Not attempt to gain unauthorized access to our systems
  • Not impersonate any person or entity
  • Comply with all applicable laws and regulations

Intellectual Property Rights

Our Content

We do not warrant that our Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no warranties about the accuracy, reliability, or completeness of any content provided through our Services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUEUE MEDICAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your access to or use of (or inability to access or use) our Services
  • Any conduct or content of any third party on our Services
  • Any content obtained from our Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO QUEUE MEDICAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Queue Medical and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

Dispute Resolution

Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally before pursuing any formal legal action.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pennsylvania, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise provided in your membership agreement.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Third-Party Services and Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Queue Medical. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

We may use third-party service providers to facilitate our Services. These providers have access to your information only to perform specific tasks on our behalf and are obligated to protect your information.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must discontinue your use of our Services.

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any membership agreement, constitute the entire agreement between you and Queue Medical regarding your use of our Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, or government regulations.
